1. Acceptance of Terms

By accessing and using QAYANI ("the Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

QAYANI is a digital legacy platform that enables users to preserve their voice, personality, and wisdom through AI-powered voice cloning and conversation technology. The Service is provided for personal, non-commercial use only.

2. Service Description

QAYANI provides the following services:

• Voice recording and storage for creating digital personalities
• AI-powered voice cloning using third-party services (ElevenLabs)
• Automatic speech-to-text transcription (OpenAI Whisper)
• Conversational AI to simulate personality-based interactions
• Family sharing and invitation system for collaborative legacy preservation
• Scheduled message delivery for future communication
• Subscription-based access tiers (Free, Premium, Family)

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any feature at any time without prior notice.

3. User Accounts and Eligibility

Eligibility: You must be at least 18 years old to use QAYANI. By creating an account, you represent and warrant that you meet this age requirement.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4. User Content and Data

Ownership: You retain all ownership rights to the content you upload to QAYANI, including voice recordings, text, and personality information ("User Content").

License Grant: By uploading User Content, you grant QAYANI a worldwide, non-exclusive, royalty-free license to use, store, reproduce, and process your content solely for the purpose of providing the Service. This includes:

• Creating voice clones using third-party AI services (ElevenLabs)
• Transcribing audio recordings using speech-to-text services (OpenAI Whisper)
• Generating AI-powered conversational responses based on your personality data
• Storing and delivering scheduled messages to designated recipients

Prohibited Content: You agree not to upload content that:

• Violates any laws or regulations
• Infringes on intellectual property rights of others
• Contains malware, viruses, or harmful code
• Includes hate speech, harassment, or discriminatory content
• Impersonates another person without authorization
• Contains explicit or inappropriate material

Content Removal: We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, without prior notice.

5. Voice Cloning and AI Services

Third-Party Services: QAYANI uses third-party AI services (ElevenLabs for voice cloning, OpenAI for speech-to-text and conversational AI). By using the Service, you acknowledge and agree that your voice recordings and data may be processed by these third-party services.

Consent for Voice Cloning: You explicitly consent to the creation of a synthetic voice clone based on your voice recordings. You represent and warrant that:

• You are the rightful owner of the voice being cloned, or have explicit permission from the voice owner
• You will not use voice cloning technology for fraudulent, deceptive, or illegal purposes
• You will not create voice clones of public figures, celebrities, or other individuals without permission

Quality and Accuracy: QAYANI does not guarantee the quality, accuracy, or authenticity of AI-generated voice clones or conversational responses. The Service is for legacy preservation and family communication purposes only.

Misuse Prevention: We actively monitor for misuse of voice cloning technology. Any suspected fraudulent or harmful use will result in immediate account termination and potential legal action.

6. Subscription Plans and Payments

Plan Tiers: QAYANI offers three subscription tiers:

• Free: 1 personality, 10 recordings/month, 3 scheduled messages, 10 TTS generations/month
• Premium ($19/month): 5 personalities, unlimited recordings, 50 scheduled messages, unlimited TTS
• Family ($49/month): 20 personalities, unlimited recordings, 200 scheduled messages, unlimited TTS

Billing: Subscription fees are billed in advance on a monthly basis. Payments are processed through Stripe. By subscribing, you authorize us to charge your payment method for recurring monthly fees.

Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. No refunds will be provided for partial months.

Price Changes: We reserve the right to modify subscription prices with 30 days advance notice. Continued use of the Service after price changes constitutes acceptance of new pricing.

7. Family Sharing and Privacy

Invitations: You may invite family members to access your digital personalities through the family invitation system. Invitations are valid for 7 days.

Access Levels: You control the access level granted to family members:

• Viewer: Can chat with personality but cannot modify
• Contributor: Can add recordings and memories
• Admin: Full access including deletion and settings

Responsibility: You are responsible for managing family access and ensuring that invited members use the Service appropriately. We are not liable for disputes between family members.

8. Scheduled Messages

Delivery: Scheduled messages are processed and sent via automated cron jobs every 6 hours. We do not guarantee exact delivery times, though we strive for accuracy.

Email Limitations: Scheduled message delivery depends on email service availability (Resend). We are not responsible for messages blocked by spam filters or undeliverable email addresses.

Modification: You may edit or cancel scheduled messages before they are sent. Once sent, messages cannot be recalled.

9. Intellectual Property

QAYANI Ownership: All rights, title, and interest in the QAYANI platform, including software, design, trademarks, and branding, are owned by QAYANI and protected by copyright and trademark laws.

Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal purposes. You may not reverse engineer, decompile, or attempt to extract source code from the Service.

10. Disclaimers and Limitations of Liability

No Warranty: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, QAYANI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

Data Loss: We implement reasonable backup procedures, but we are not liable for any loss of User Content due to technical failures, security breaches, or third-party service outages.

11. Termination

By You: You may terminate your account at any time through account settings. Upon termination, your User Content will be deleted within 30 days unless required for legal compliance.

By Us: We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or misuse the Service. Termination may result in immediate deletion of your data.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where QAYANI is registered, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.
